Managed-service terms

These are general website-level terms for ShadowOrders managed B2B catalog-processing pilots. Customer-specific written scope and mandatory law take priority. Seller identity, tax treatment and invoice details for a paid job are confirmed in the customer-specific quote or invoice before payment.
Scope before paid work
A representative sample is reviewed before a job is accepted. Fit, scope, price and delivery time are confirmed in writing before paid work begins.
Standard service boundary
The service may include catalog cleanup or normalisation within the agreed scope, source-to-target mapping, SKU/variant QA, exception handling based on supplied decisions, Shopify-format output preparation, provenance and static import-compatibility QA.
Unless explicitly included in an accepted quote, the service does not include live Shopify import, Shopify API writes, post-import validation, source code, executable files, engine archives, sublicensing or resale rights.
Customer inputs
The customer is responsible for having the right to provide submitted files and instructions and for supplying accurate source information and timely decisions for exceptions.
Unsupported values
Where a required value cannot be supported by supplied data or agreed correction rules, it may be surfaced as an exception or question rather than invented.
Price and payment
Price is fixed after sample and scope review. Currency, due date, tax treatment, billing identity and customer-specific payment details are confirmed for the specific transaction.
Additional work
Material work outside the accepted fixed scope requires a separate written scope and price decision.
Delivery
Deliverables and timing are those stated in the accepted quote. The customer remains responsible for reviewing outputs before production use and for operational actions outside the agreed scope.
Mandatory rights
Nothing here removes rights or obligations that cannot lawfully be excluded.
